The restaurant was open for business prior to being closed by the pandemic.  Please take advantage of the open house to come out and preview the items. Everything sells.

   ADDENDUM TO ONLINE TIMED AUCTION CONTRACT

(THE “CONTRACT”)

BETWEEN TOM HALL AUCTIONS, INC. AND CAL 4 ASSOCIATES LLC

DATED JUNE 16, 2021

This Addendum (the “Addendum”) to the Contract is made as of the date set forth above, to be effective on JUNE 16, 2021 (the “Effective Date”) by and between the Seller and the Auctioneers as described in the Contract.  It is agreed that the terms of the Addendum shall control in the event of a conflict with the Contract, and it is agreed, also, that the terms of the Addendum shall be attached to and incorporated by reference in the terms and conditions provided to bidders participating in the auction.  [Capitalized terms used herein shall have the meanings assigned to them in the Contract.]

Now therefore, intending to be legally bound hereby, the Seller and the Auctioneers and the Buyer agree as follows:

1.Each Buyer shall be responsible to remove the item(s) purchased in the auction, such removal to be at a time and place (designated by the auctioneers) scheduled by appointment no less than 1 day prior to the desired pick-up date.

2.If the item(s) purchased in the auction are powered by any utility service (e.g., electric or natural gas) and/or require the use of specialized equipment to accomplish its/their safe removal from the Seller’s premises at 701 N. 19th Street, Allentown, Pa. then the Buyer shall be responsible solely to arrange for skilled (and, if required by municipal code, licensed) tradespeople to accomplish such removal and to repair any damage to the Seller’s premises 

resulting from such removal.  The Buyer shall be required to obtain any municipal permit that may be required before undertaking the removal and, prior to undertaking such removal, shall provide the Seller and Auctioneer with an insurance certificate evidencing that the Seller and Auctioneer are additional insured parties under a policy of public liability/property damage 

insurance (with commercially reasonable limits of liability) with respect to any of the removal work.

3.The Buyer will indemnify the Seller and Auctioneers and save them  harmless from and against any and all claims, actions, damages, liabilities and expenses in 

connection with loss of life, personal injury and/or damage to property arising from or out of any occurrence in, upon, or at the premises or any part thereof, occasioned wholly or in part by any act or omission the Buyer and/or its agents, contractors, employees and servants for any injury or damage caused by the wrongful acts or negligence of the Buyer and/or its agents, contractors, employees and servants.  In case Seller and/or Auctioneers shall, without fault on its/their part, be made a party to any litigation commenced by or against the Buyer, the Buyer shall protect and hold Seller and/or Auctioneers harmless and shall pay all costs, expenses and reasonable attorney’s fees incurred or paid by Seller and/or Auctioneers in connection with such litigation.  The Buyer shall also pay all costs, expenses, and reasonable attorney’s fees that may be 

incurred or paid by Seller and/or Auctioneers in enforcing the covenants and agreements in this Addendum.

In witness whereof, the Seller, the Auctioneers, and each successful bidder has signed or has caused this Addendum to be duly executed on the date appearing below the signature lines.
